1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and UbuLogic ("we," "us," or "our"), governing your access to and use of our website, platform, and services.
If you are entering into these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not access or use our services.

3. DESCRIPTION OF SERVICES
UbuLogic provides marketing, automation, CRM setup, AI chat and voice assistant configuration, and business management services to small businesses and service-based companies.
Services may include but are not limited to:
- CRM platform setup and management
- AI chat and voice assistant configuration
- Marketing automation and workflow setup
- Appointment scheduling and calendar management
- Email and SMS marketing campaigns
- Funnel and website building
- Onboarding and implementation support
- Ongoing platform support and optimization
The specific services provided to you will be outlined at the time of enrollment based on your selected plan.
4. ELIGIBILITY
You must be at least 18 years of age to use our services. By agreeing to these Terms, you represent and warrant that:
- You are at least 18 years old
- You have the legal capacity to enter into a binding agreement
- You are using our services for lawful business purposes only
- All information you provide to us is accurate and complete
5. SERVICE PLANS AND PRICING
UbuLogic currently offers the following subscription plans:
Core Plan: $297.00 per month
Pro Plan: $497.00 per month
Plan features and inclusions are described on our website and may be updated from time to time. We reserve the right to modify pricing with reasonable advance notice to existing clients.
6. FREE TRIAL
UbuLogic offers a 14-day free trial for new clients. No credit card is required to begin your trial.
At the end of the trial period:
- You may choose to subscribe to a paid plan
- If you do not subscribe, your access to the platform will be discontinued
- No charges will be applied without your explicit consent and payment authorization
The free trial is available to new clients only and may not be combined with other offers. UbuLogic reserves the right to modify or discontinue the free trial offer at any time.
7. PAYMENT TERMS
All payments are processed securely through Stripe, our third-party payment processor. By providing your payment information, you authorize UbuLogic to charge your selected payment method on a recurring monthly basis.
- Subscription fees are billed monthly in advance
- Your billing cycle begins on the date your paid subscription starts
- All fees are stated in U.S. dollars
- You are responsible for all applicable taxes
- Failed payments may result in a temporary suspension of your account
We reserve the right to update pricing with at least 30 days written notice to active subscribers.
8. CANCELLATION POLICY
You may cancel your subscription at any time by contacting us at [email protected].
- Cancellations must be submitted before your next billing date to avoid being charged for the following month
- Upon cancellation, you will retain access to your account through the end of your current paid billing period
- After the billing period ends, your account and associated data may be deactivated
- UbuLogic reserves the right to retain certain data as required by law or for legitimate business purposes
9. REFUND POLICY
Due to the nature of our services, all subscription fees are non-refundable once a billing cycle has begun, except where required by applicable law.
- No refunds will be issued for partial months of service
- No refunds will be issued for unused features or services within a plan
- If you believe you were charged in error, please contact us at [email protected] within 7 days of the charge and we will investigate promptly
Exceptions may be made at UbuLogic's sole discretion on a case-by-case basis.
10. CLIENT RESPONSIBILITIES
As a client of UbuLogic, you agree to:
- Provide accurate, complete, and up-to-date business information
- Maintain the confidentiality of your account login credentials
- Promptly notify us of any unauthorized access to your account
- Use our services only for lawful business purposes
- Comply with all applicable local, state, and federal laws and regulations
- Cooperate with our team during onboarding and implementation
- Respond to reasonable requests for information needed to deliver services
- Ensure all contacts in your CRM have provided appropriate consent to be contacted
11. ACCEPTABLE USE POLICY
You agree NOT to use our services to:
- Send unsolicited spam or bulk communications without proper consent
- Violate the CAN-SPAM Act, TCPA, or any other applicable communications law
- Harass, threaten, or harm any individual or business
- Engage in fraudulent, deceptive, or misleading practices
- Infringe upon the intellectual property rights of any third party
- Distribute malware, viruses, or other harmful code
- Attempt to gain unauthorized access to any system or network
- Violate any applicable local, state, national, or international law or regulation
Violation of this policy may result in immediate termination of your account without refund.
12. AI TOOLS AND AUTOMATION DISCLAIMER
UbuLogic configures and manages AI-powered chat assistants, voice assistants, and marketing automation tools on your behalf. You acknowledge and agree that:
- AI-generated responses and automated communications are tools to assist your business, not guarantees of specific outcomes
- You are responsible for reviewing and approving AI scripts, workflows, and automations before deployment
- UbuLogic is not responsible for any communications sent through your account that violate applicable laws
- Results from AI tools, automations, and marketing campaigns may vary and are not guaranteed
- You are responsible for ensuring all AI and automated communications comply with applicable regulations, including the TCPA and CAN-SPAM Act
13. INTELLECTUAL PROPERTY
a. Our Property
All content, materials, tools, templates, workflows, training, and technology provided by UbuLogic — including but not limited to software, designs, text, graphics, and branding — are the exclusive property of UbuLogic and are protected by applicable intellectual property laws.
b. Your Property
You retain ownership of all content, data, branding, and materials you provide to us. By sharing your materials with us, you grant UbuLogic a limited, non-exclusive license to use them solely for the purpose of delivering your services.
c. Restrictions
You may not copy, reproduce, distribute, resell, or create derivative works from any UbuLogic proprietary materials without our prior written consent.
14. CONFIDENTIALITY
Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the service relationship. This includes but is not limited to business strategies, client lists, pricing structures, and technical configurations.
This obligation does not apply to information that:
- Is or becomes publicly available through no fault of either party
- Was already known to the receiving party prior to disclosure
- Is required to be disclosed by law or legal process
15. DISCLAIMER OF WARRANTIES
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
UbuLogic does not warrant that:
- Our services will meet your specific business goals or expectations
- Results from marketing, automation, or AI tools will be uninterrupted or error-free
- Any specific revenue, lead generation, or growth targets will be achieved
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UBULOGIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
In no event shall UbuLogic's total liability to you for any claims arising under these Terms exceed the total amount paid by you to UbuLogic in the three (3) months preceding the claim.
17. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless UbuLogic and its owners, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:
- Your use of our services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any content or communications sent through your account
- Any third-party claims related to your business operations
18. TERMINATION
a. Termination by You
You may terminate your account at any time by providing written notice to [email protected]. Termination will take effect at the end of your current billing period.
b. Termination by UbuLogic
We reserve the right to suspend or terminate your account immediately and without prior notice if you:
- Violate any provision of these Terms
- Engage in fraudulent or illegal activity
- Fail to pay any fees owed
- Use our services in a way that harms UbuLogic or any third party
c. Effect of Termination
Upon termination, your right to access and use our services will immediately cease. Provisions of these Terms that by their nature should survive termination — including payment obligations, intellectual property, limitation of liability, and indemnification — shall remain in effect.
19. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.
Any legal disputes arising out of or related to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Kalamazoo County, Michigan.
20. DISPUTE RESOLUTION
Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will make a good-faith effort to resolve the matter within 30 days.
If the dispute cannot be resolved informally, the parties agree to submit to binding arbitration in accordance with the American Arbitration Association (AAA) rules, with arbitration conducted in Kalamazoo, Michigan. The arbitrator's decision shall be final and binding.
Class action lawsuits and class-wide arbitration are not permitted under these Terms.
21. CHANGES TO THESE TERMS
We reserve the right to update or modify these Terms at any time. When changes are made, we will:
- Update the "Last Updated" date at the top of this page
- Notify active subscribers via email for any material changes
Your continued use of our services after updated Terms are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
22. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
23. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and UbuLogic regarding your use of our services and supersede all prior agreements, representations, or understandings between the parties.
